Check out some options how lay files might be converted to dxf format.
It is possible that Pro/Engineer could export its own layout files (.lay) as common DXF CAD files. However, we do not have exact information about the the procedure, but such lay to dxf conversion can be likely it was done using the default save/export function.
Unfortunately, there is no detailed software record in the database for this conversion.

LAY
A lay file extension is related to the Pro/ENGINEER 3D CAD/CAM/CAE software for Windows. A lay file stores layouts.
Files with lay file extension can also be found as PCB files, supposedly some kind of version 6 used in an unknown program.
Files with lay extension can be also found as layouts from Tecplot visualization tool. Contains settings for the programs workspace.
Files with lay suffix may possibly be one of the many layout or layout design files from several different computer programs.
Files with lay file extension can be also found as layout files from MAME (Multiple Arcade Machine Emulator) and used for its layout files.
DXF
Files with dxf file suffix can be typically found as 2D CAD drawings saved in the Drawing Exchange Format, a common format for exchange of engineering drawings.
Files with dxf extension were associated with Micrografx Picture Publisher. Now this project is discontinued.
