When you upload your XLS spreadsheet to Google Sheets, a link to it is created which is represented with a .gsheet file, but it's not actually xls to gsheet conversion in proper sense. It's more of linking your spreadsheet with Google Docs.

XLS
Files with xls extension are best known as spreadsheets from Microsoft Excel. A spreadsheet is basically a grid of cells sorted in rows and columns. Each cell can contain text, numeric or formula data. Excel XLS spreadsheets can be opened in most other similar programs, such as OpenOffice.org Calc.
GSHEET
Files with gsheet extension are URL links to a spreadsheet created in Google Drive. It is not the actual spreadsheet, just an URL link. You can download the spreadsheet from Google Drive in more typical format, like *.xlsx or *.ods.
