You can import .3ds CAD graphics to AutoCAD and plenty of other CAD / 3D modeling tools and and save/export it as .dwg file. Might not work with every version of 3DS file format though, likely only programs from Autodesk support latest version of .3ds files and thus allow perfect 3ds to dwg conversion.

3DS
Files with 3ds file extension can be commonly found as 3D computer graphics created using 3D Studio Max software as well its successor product 3ds Max by Autodesk.
DWG
Files with dwg extension are used for the original CAD format originally introduced in Autodesk AutoCAD. The latest version of DWG format is usuaually proprietary and can only be created in AutoCAD. Other CAD programs can usually import it but not create its proprietary form. Because of this, DWGs are often exported to DXF interchange format so that they can be seamlessly used in other CAD programs.
